These terms set out the rules for using EatRoot — the commission-free platform restaurants use to take orders, fill tables and grow.
1. Agreement to terms
These Terms & Conditions ("Terms") govern your access to and use of the EatRoot platform, websites, apps and related services (the "Service"), operated by EatRoot ("EatRoot", "we", "us").
By creating an account, placing an order through a restaurant that uses EatRoot, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
2. The Service
EatRoot provides restaurants with commission-free tools for online ordering, reservations, an AI phone receptionist, kiosk, delivery and marketing. We connect your ordering channels to your point-of-sale and kitchen.
We may add, change or remove features at any time. We aim to give reasonable notice of material changes that affect how you use the Service.
3. Accounts and eligibility
You must be at least 18 years old and able to form a binding contract to open a merchant account. You are responsible for the accuracy of the information you provide and for all activity under your account.
Keep your login credentials secure. Notify us promptly of any unauthorised use. You are responsible for your staff's use of the Service under your account.
4. Acceptable use
You agree not to misuse the Service. In particular, you will not:
Break the law, infringe others' rights, or sell prohibited items through the Service.
Attempt to access, probe or disrupt our systems, or bypass security or usage limits.
Upload malware, scrape the Service, or resell it without our written permission.
Misrepresent your menu, pricing, allergen information or business identity.
5. Fees and payment
Paid plans and add-ons are billed in advance on a recurring basis as shown at checkout. Some plans include a small per-order fee. Taxes may apply.
Payments are processed by our third-party payment providers. You authorise us and them to charge your chosen payment method for all fees due. Fees are non-refundable except as set out in our Refund Policy.
6. Commission-free ordering
EatRoot does not take a percentage commission on orders placed through your own EatRoot channels. Your plan fee (and any per-order fee) is the amount you pay us. Third-party marketplaces you connect may charge their own commissions, which are between you and them.
7. Your content and data
You retain ownership of your menus, branding, guest data and other content you provide ("Merchant Content"). You grant us a licence to host, process and display Merchant Content solely to provide and improve the Service.
You are responsible for having the rights and consents needed for the Merchant Content and for complying with applicable law when you collect guest data.
8. Intellectual property
The Service, including its software, design and trademarks, is owned by EatRoot and its licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. All rights not granted are reserved.
9. Third-party services
The Service integrates with third parties such as payment processors, delivery networks, aggregators and POS systems. Your use of those services is governed by their terms, and we are not responsible for them.
10. Disclaimers
The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted or error-free.
11. Limitation of liability
To the fullest extent permitted by law, EatRoot will not be liable for indirect, incidental, special or consequential damages, or for lost profits, revenue or data. Our total liability for any claim relating to the Service is limited to the fees you paid us in the 12 months before the claim.
12. Termination
You may cancel at any time from your account. We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Service in a way that risks harm to others or our systems.
On termination, your right to use the Service ends. We will make your data available for export for a reasonable period as described in our Privacy Policy.
13. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or in-product. Continued use after changes take effect means you accept the updated Terms.
14. Governing law and contact
These Terms are governed by the laws of the jurisdiction in which EatRoot is established, without regard to conflict-of-law rules. Disputes will be handled by the competent courts of that jurisdiction.
